UPS M&A Transaction Director in Atlanta, Georgia

Job Summary

The Merger and Acquisition (M&A) Transaction Director oversees the day-to-day management of M&A activities to ensure efficient execution of transactions (i.e., mergers, acquisitions, joint ventures, and divestitures) in line with the organization's overall strategic direction. The incumbent acts as a liaison between the M&A team and involved parties (e.g., business sponsors, UPS functional teams, outside advisors, target companies, etc.). This position supervises others in the department.

Responsibilities

  • Identifies and coordinates the collection of relevant data from target companies to prepare for valuation

  • Oversees internal and external valuation advisors to conduct financial statement analyses

  • Presents valuation findings to senior management to allow for review

  • Identifies critical M&A transaction issues to develop due diligence strategies

  • Manages presentation of due diligence findings to senior management to determine viability of continuing the M&A transaction process

  • Reviews documents to ensure critical aspects of the M&A transaction are reflected properly (e.g., price, indemnifications, representations, warranties, etc.)

  • Coordinates closing activities to prepare for M&A transactions

  • Assists the UPS Strategy group with market research to identify areas for inorganic growth

  • Evaluates business plans and synergy estimates of UPS business units and potential target companies to create recommendations to UPS senior management

  • Coordinates transfer of knowledge gained during the M&A transaction process to the integration team to prepare for integration

  • Performs post-transaction adjustments to ensure integration process is effective

  • Identifies individual/team skill gaps and developmental opportunities (e.g., training, special assignments, projects, etc.) to facilitate individual and team development

  • Displays comfort working cross-functionally, across business units and organizational levels

  • Applies knowledge of laws, regulations, governing agencies, procedures, audits, programs, and practices that reduce company risk

  • Identifies appropriate strategies, desired outcomes, organizational priorities, and appropriate concessions; considers alternatives, persuades others toward a specific course of action, and gains consensus

  • Identifies, evaluates, and prioritizes both current/emerging risk exposures; determines appropriate risk treatments for mitigation to minimize, monitor, and control the probability and/or impact of events

  • Understands tax and financial statements; experience with tax accounting and M&A, with understanding financial statements, balance statement, income statement and cash flow statement

  • Possesses financial modeling skill background

  • Experience working with senior/C-level stakeholders to manage expectations and obtain alignment

  • Minimum 3 years of experience in Mergers & Acquisition or Corporate Development

  • Master’s Degree (or internationally comparable degree)
